This document records the resignation of a director of any New Zealand company.
Why do I need this Director Resignation Letter?
Under the Companies Act 1993, a director can only resign as a director of a company by signing a written resignation notice and delivering it to the address for service of the company. This Director Resignation provides the form and wording required for a director to resign formally. It also provides confirmation that no money is owed by the company to the director (or specifies what money is owed). It also confirms the director has no claims against the company. Please note, if there are potential legal claims by the director against the company this Director Resignation will not be suitable.

What do I do once my Director Resignation Letter is created?
As soon as you download the document, it is ready for the director to sign. Once signed, it must be delivered to the company’s address for service. It will be effective from the date stated in the notice (so long as this isn’t earlier than the date it is delivered to the company).
You must notify the Registrar of Companies of the director’s resignation within 20 working days of the date of the notice. This can be done online via the Companies Office.
