Why do I need a One-Way Confidentiality Agreement?
If you want to protect your ideas, trade secrets, business plans and strategies, finances, designs, drawings, processes, customer or supplier details or information, or any other commercially sensitive information (that is not, or doesn’t become, publicly available) from being copied or falling into the wrong hands, a Confidentiality Agreement is essential!
Our One-Way Confidentiality Agreement prevents valuable confidential information shared by one business or person with another from being shared with anyone else. It can be used by any person or business sharing confidential information, such as when hiring an independent contractor to work on a confidential project, negotiating a top-secret contract with another business, pitching to investors, negotiating a potential sale of your business (or shares) or sharing commercially sensitive information with suppliers or business partners.
What’s in a One-Way Confidentiality Agreement?
NZ lawyers have designed this agreement for use by NZ businesses. It is simple (only two pages!), easy to understand, without legalese, and fair to both sides, reducing negotiation time and keeping the relationship positive.
The agreement prohibits a person or business that is receiving confidential information from another from sharing it with anyone else. If the sharing party stops sharing its confidential information, the information already shared must be kept secret until the earlier of four years or the date the information is no longer confidential (because it has become public knowledge).

What do I do once my document is created?
The agreement is ready to sign as soon as you download it. To be legally enforceable, both parties must sign it, so make sure you get it signed early on (ideally before any info is exchanged), even if you’re just in the early stages of discussions.
