Who’s this Software Agreement for?
Our Software Agreement is for software creators or owners who want to licence their software products to other people or businesses. If you provide implementation services to install your software on your customers’ devices/systems (or enable access to your software) and/or you provide helpdesk services, make upgrades to new versions of your software available, implement upgrades or fix faults with the software, these services can also be included in the agreement (optionally).
Why do I need a Software Agreement?
If you’re allowing others to use your software, you need to ensure they are restricted from any use that could harm or disrupt your software, and you need to protect your intellectual property rights in the software. You also need to clarify how long the licence is for, how and when you will be paid and what your obligations are if there are any issues. If you are supporting the software, are you being paid additionally for this support? How can a customer contact you? Which issues are your responsibility to fix? Agreeing all of this upfront saves you from potential disputes, financial risk and reputational damage down the road.
How long does it take to complete the Q&A?
Approx. 10 - 15 minutes (depending on services included) – faster than most other items on your to-do list! During the Q&A you can save your progress to come back later, or repeat the Q&A to change an answer or produce a new version of a document.
What information do I need to complete the Q&A?
- Location of your software specifications and user information
- Length of licence
- Any device or user limits
- Whether you will provide a guarantee (ie, fix issues for free for a set period)
- Licence fee type (fixed regular payments, T&M?)
- Any support services you will provide (and associated charges)
- Any implementation services you will provide (and associated charges)

What do I do once my Software Agreement is created?
The Software Agreement is ready to use and sign with your customer as soon as you download it. If you have elected to include support and/or implementation services, the relevant schedules will be included in the agreement.
