Are these SaaS Terms and Conditions for me?
Who needs these T&CS?
A business selling Software as a Service (i.e., access to a software product via an online application hosted by the business (or its host provider)). If you’re selling a software product to be hosted by the customer, you’ll need our Software Agreement instead.
What’s in them?

- A right for your customers to access and use your software
- An agreement from your customers to pay you
- Promises from your customers to comply with any use limits, not to resell, copy, reverse engineer etc your product (and a right for you to cancel their subscription if they do)
- A clear statement that you continue to own all the Intellectual Property in your software
- A guarantee from you the software will operate following its specifications (in material respects), won’t infringe others’ IP, and will comply with NZ law (if you fail on the guarantee you can fix your failure or cancel a subscription)
- A disclaimer of your responsibility for other products or services used with your software
How do I create my SaaS Terms and Conditions?
Process
Once you've registered an account and purchased the T&Cs, you'll have access to questions about your business and software that will take around 10 minutes to answer. You’ll need the following info (but don’t worry if you need to stop and come back – once you’ve purchased, there’s no time limit on your access):
- Name of your SaaS
- URL for the specifications of your SaaS
- Whether your customers can access a free trial subscription
- The period during which you’ll use reasonable efforts to make SaaS available – eg, 24/7 or weekdays
- What countries you (or your host provider) store customer data in
- Whether subscriptions automatically renew or not – if they do – how much notice needs to be provided to cancel

What do I do once I've created my SaaS T&Cs?
Download the document, read it to check you’re happy (and that you understand your obligations) and put the T&Cs on your website (or email to customers when they sign up). It’s important your customers clearly accept your T&Cs before accessing your product, adding a tick box to confirm is a good way to do this.
